ESTABLISH A QUORUM Present were Bob Boshears (President), Glenn McLane (Vice President), Nicky Dronoff-Guthrie (Treasurer), Pat Angel (Secretary), Leann Warfield (Director). A quorum was established. PROOF OF NOTICE Notice of the meeting was posted on the web site and a sign was placed at the entryways to Granada Villas. OPEN ISSUES Legal Case The Lorenz and Cohn contempt motion was discussed. A stay was filed. The filing for legal fees was submitted as a separate motion and will be heard on May 2, 2005. Liasons to Vista and T&C It was agreed by the Board members that telephone discussions with Vista Management regarding financial reporting will be handled by Nicky and Bob. Discussions with T&C regarding financials will be conducted by Nicky and Bob. Management Company Bob Boshears and Glenn McLane will meet with Vista Management to discuss the following issues: • Procedures for contacting homeowners
ARC Leann Warfield reviewed for the Board the restrictions imposed on ARC approval of home improvements and repairs. Currently everything approved by ARC has to reflect the existing “scheme” of the community and be in harmony because Granada Villa’s governing documents only give the Board and ARC control over a few specific items (i.e. mailboxes, solar panels, house trim). As it stands now, in order to keep control of the appearance of the community, Granada Villas must rely on and comply with the case law giving homeowner associations very limited rights to approve things only in order to preserve the harmony of a community’s existing appearance. As the homes age, this becomes harder and harder requiring custom repairs to continue to duplicate the existing appearance. Leann suggested the Board consider requesting a current set of bylaws and covenants from legal counsel to present to the homeowners for approval which would then give Granada Villas the direct right to control the appearance of the community. This would help insure that Granada Villas would continue to look as it does and would allow the ARC a little more latitude when necessary to approve an upgrade or repair that may not be exactly identical to existing obsolete and outdated building materials and styles. Leann requested that a motion be presented before the Board at the April 19 Board meeting to officially appoint members of the ARC. Homeowners who volunteered to be appointed to the ARC include: Leann Warfield Jeff Speicher will be contacted to see if he would like to be considered for the committee. Discussion about the shed to be located in the Recreation area and the signs was postponed until the April 19 Board meeting . There is grant money of $5,000 available for work completed by June. Filing must be submitted in May (exact date to be determined by Nicky). There are two faulty sprinkler heads in the front of the Recreation area believed to be owned by Vizcaya. Bob James will report the problem to the appropriate contact at Vizcaya. ADJOURNMENT There being no further business to come before the Board, upon motion duly made by Nicky Dronoff-Guthrie, seconded by Glenn McLane, and unanimously carried, the meeting was adjourned at 5:50 p.m. _______________________________
