GRANADA VILLAS HOMEOWNERS ASSOCIATION
MINUTES OF THE BOARD OF DIRECTORS
ORGANIZATIONAL MEETING
March 14, 2006 - Wyndam Hotel

CALL TO ORDER

Bob Boshears acted as Chairman of the meeting and called the meeting to order at 8:04 p.m. Pat Angel acted as Secretary of the meeting and kept the minutes thereof.

ESTABLISH A QUORUM

Present were Bob Boshears, Leann Warfield, Robert Uhls, Lois Gilbert, and Pat Angel, being all of the directors of the Association. A quorum was established.

ORDER OF BUSINESS

The five directors elected at the Annual Shareholders Meeting met immediately after the Annual Shareholders Meeting to elect the officers for the upcoming 2006 Board year.

After discussion, each of the following persons were unanimously elected as officers of the Association, to hold such offices until the earlier of their resignation or removal, the next annual meeting of the Board of Directors of the Association, or until such time as their successors shall be elected and shall qualify:

President Bob Boshears
Vice President Robert Uhls
Secretary Pat Angel
Treasurer Lois Gilbert

Further, the following Board liaisons were appointed:

Landscaping Committee Bob Boshears
ARC Committee Leann Warfield
Beautification and Welcoming Committees Pat Angel
Taylor & Carls, legal counsel Lois Gilbert and Robert Uhls

Lastly, Bob Boshears and Lois Gilbert were given authority to approve and sign checks on behalf of the association.

Leann motioned to adjourn the meeting at 8:25 p.m. Robert seconded the motion. The vote was unanimous for adjournment.
