BOARD OF DIRECTORS SPECIAL MEETING

CALL TO ORDER
Bob Boshears acted as Chairman of the meeting and called the meeting to order at 7:07 p.m. Pat Angel acted as secretary of the meeting and kept the minutes thereof.

ESTABLISH A QUORUM
Present were Bob Boshears (President), Glenn McLane (Vice President), Leann Warfield (Director) and Pat Angel (Secretary). A quorum was established.

PROOF OF NOTICE
Notice of the meeting was placed at each entrance.

PRESIDENT’S REPORT
Bob Boshears indicated that Insta-gators Landscaping had submitted a 30-day written cancellation notice on Thursday, September 1, 2005, in accordance with Section IV Terms of Contract, Item 3 of the Landscape Maintenance Contract signed on November 17, 2004.

Four vendors submitted bids to provide landscaping Granada Villas: Nanaks’s Landscaping, Carol King Landscaping, Gro Tech Landscaping Service, and Richart Company.

DISCUSSION BY BOARD MEMBERS

Leann indicated that the contract should include fuel surcharge limits indicating the number of times the fuel charge could be revised in one year and a cap on the fuel charge.

Bob would negotiate a one time catch up fee to get the homeowners’ yards detailed properly.

After reviewing the bids, it was decided that Gro Tech’s and Richart’s bids were excluded from any further consideration. Glenn indicated that he would contact two other landscapers. And, Pat would research provide Reece Williams’ phone number as another source.

Further negotiations with proposed landscapers would include:

* Possibility of a longer term
* One-time charge to get the detailing caught up
* Cost for sedge treatments
* Definition of tree trimming

Currently, homeowners are paying $64 per month for landscaping and lawn and weed treatments with Insta-gators providing the landscaping and Green Pastures providing the fertilization and weed treatments.

Carol King’s bid includes both landscaping, fertilization, and weed treatment at a cost of $73 per month per homeowner including the fuel surcharge.

Leann made a motion to pursue Carol King and the three other sources (suggested by Glenn and Pat) to negotiate a landscaping and fertilization and weed treatment service including the additional services mentioned above. Pat seconded the motion. The vote was unanimous for approval.

Leann made a motion to cancel the contract with Green Pastures, effective September 30, 2005. The reason was because of centralized lawn care and fertilization. Glenn seconded the motion. The vote was unanimous for approval.

Pat motioned to adjourn the meeting at 8:05 p.m. Bob seconded the motion. The vote was unanimous for approval.
